Form LLC-5.5: The Articles of Organization

The document that creates your company is authorized at 805 ILCS 180/5-5, which directs that the articles "shall set forth" the LLC's name and the address of its principal place of business, among the other items collected on the form. Beyond those two: the registered agent's name and Illinois office address, the management structure (member-managed or manager-managed), and the organizers signing the filing.

Two ways to file: online through the Secretary of State's system, or on paper, submitted in duplicate, by mail to the Department of Business Services. The $150 fee is printed right on Form LLC-5.5.

Steps to Form Your Illinois LLC

  1. Pick a compliant name. It needs an LLC suffix (Limited Liability Company, LLC, or L.L.C.) and can't duplicate or closely resemble an existing entity. Check the Secretary of State's entity database before ordering business cards or buying a domain, and skip bank, insurance, and government terms unless you're licensed for them.

  5. Get an EIN from the IRS. Free at IRS.gov, under ten minutes, issued immediately. Never pay a third party for one.
  6. Keep up with the recurring obligations. Agent on record at all times, Form LLC-50.1 filed before your anniversary month each year at $75, business and personal money strictly separated, taxes current. Miss enough of it and dissolution follows, taking the liability shield with it.
